Abstract:
The issue of excluding a partner (removing a partner) from the company is one of the most important, very sensitive and controversial issues in corporate law. The legislation of different countries regulates this issue in different ways, but it is important that most countries, together with the decision of the General Meeting of Partners, to exclude a partner, require a relevant court decision that has entered into legal force. On the basis of a comparative analysis, the presented article discusses the possible reasons for the exclusion of a partner and the issues of legal regulation of the exclusion procedure. The fiduciary duties of a partner are analyzed as one of the important reasons for the exclusion of a partner from the company. Special attention is paid to legislative gaps and to the heterogeneity of the case law of Georgia in connection with the exclusion of a partner from the company. However, the article discusses the shortcomings of the new draft law of Georgia on Entrepreneurs, it is worth mentioning that the draft law was developed on the basis of the Association Agreement between Georgia and the European Union. Under this agreement, Georgia undertook an obligation to integrate Georgian corporate law into EU corporate law, in addition, in our opinion, the positions presented in the article will significantly develop and improve such an important institution of corporate law as the exclusion of a partner from the company.

DIAGNOSIS OF THE FUNCTIONAL STATE OF AUTONOMIC REGULATION AND PROGNOSIS OF MALADAPTATION DEVELOPMENT; doi:10.31435/rsglobal/033

Abstract:
It was demonstrated that medical students with vagotonia and sympathicotonia had a mild strain of their regulation mechanisms. The considerable signs of autonomic regulation inefficiency were found out in conditions of physical exercising. The adaptation of individuals with vagotonia to the physical loading was going mainly due to the excessive elevation of heart rate along with the increase in diastolic blood pressure. In contrast, abnormal elevation of pulse pressure after physical loading was observed in young people with sympathicotonia, which is concerned as a negative prognosis and also a predictor of arterial hypertension. Some physiological aspects of the recovery period confirmed the insufficiency of autonomic regulation as well as discoordination of the reciprocal departments of autonomic nervous system in examined persons. The unfavorable range of increase in hemodynamic parameters after physical loading was to pioneer. The following ranges of cardiovascular indexes indicated the mild level of maladaptation: in individuals with vagotonia – Mean Arterial Pressure by 6-30%, heart rate by 80-120%, endurance coefficient – 5-27%, and Robinson’s index – 121–200%; in persons with sympathicotonia – endurance coefficient – 5-27%, and Pulse Pressure – 75-105%. These changes have to be corrected in advance for the prophylactics of specific and nonspecific complications of visceral systems functioning. ENGLISH UKRAINIAN LEXICON OF INTERNATIONAL TAX TERMS; doi:10.31435/rsglobal/036

Abstract:
The proposed glossary is based on terms from the International Glossary of Tax Terms, the OECD Glossary of Tax Terms, the Glossary of Financial and Investment Terms and websites of the Tax Agencies. This dictionary contains the most commonly used terms in the tax field and has about 1600 terms that are of interest to both researchers and professionals in this field. We have paid special attention to the phenomenon that is currently only being implemented in Ukraine, namely the concept of “Base erosion and Profit Shifting” (BEPS), which refers to tax planning strategies that use gaps and inconsistencies in national and international tax law to artificially transfer profits to low- or zero-tax areas where economic activity is low or non-existent. In the future, it is planned to create a Swedish-Ukrainian dictionary of tax terms, which will contain more dictionary entries and help future professionals in this field.

Abstract:
The article is devoted to the consideration of the Protestant chorale, the preconditions of its origin and the first examples. The situation from the history of the early Lutheran church is described, when Martin Luther introduced communal choral singing. The main task set in the work is to analyze the main methods of processing Protestant chorales in the works of prominent Western European and domestic composers. Several vocal, instrumental and vocal-instrumental genres are considered, which are based on choral. It is noted that the most common means of processing the chorale is its harmonization, designed for both choral and organ performance. In the Renaissance and Baroque, the practice of creating figures on the choral became quite common, as well as the use of the choral as the theme of the fugue – fugue choral. Another way of elaborating the chorale was the technique of cantus firmus, while the theme of the chorale was located in the lower voice or in the tenor in rhythmic expanse, forming the basis of the whole composition. One of the leading genres of organ music – choral preludes – is considered, special attention is paid to the works of JS Bach. The principle of construction of choral fantasies is analyzed separately. Among other genres, parties, toccatas, masses, oratorios, and other works were created on the basis of chorales. In conclusion, there is a modern tendency to return to the practice of using chant in the liturgy in its original form, as they sounded earlier.

Abstract:
The problem of synthesis of artistic and aesthetic directions of the XX century is considered in the violin music of the Chinese composer Ma Sitsong, whose creative path is outlined in the European, Chinese and American periods. Ma Sitsong was the first Chinese musician to study at the Paris Conservatory and adapt the modernist tendencies of Europe (Impressionism by C. Debussy; I. Stravinsky's search for the "Holy Spring", B. Bartok's neo-folklore). The principles of the latter resonated with Ma's intense reliance on the national Chinese firstborn. After returning to China, he admired the work of S. Prokofiev. Violin music (the first Chinese Concerto, Xinyan Rhapsody for Violin and Orchestra, Suiyuan Suite, Rondo №№1-2) showed a bright national beginning combined with neo-romantic tone and impressionistic sound recording. The mystical-religious figurative conceptosphere of the Tibet Suite is full of symbolic features. After emigrating to the United States, the composer turned to the native music of Taiwanese aborigines (Amei and Gaoshan Suites). Reproducing archaic images, Ma tends to Fauvism, primitive naivety and minimalism, continuing the line of I. Stravinsky, corresponding with the search for his contemporaries: O. Messian, J. Cram, J. Cage, T. Takemitsu, M. Skoryk. In works of the American period (Concerto for 2 violins, Rondo №№3-4, Sonata №3, Sonata for 2 violins solo) neoclassical, expressionist, urban features, elements of Westernization, jazz are felt. Ma Sitsong, as one of the founders of the national violin school, organically combines the diversity of world trends with a lasting reliance on Chinese folk music.

Abstract:
The state of public procurement as a tool for stimulating innovation is analyzed both in developed countries and in Uzbekistan. It is proposed to conclude that at different stages of placing and executing a government order, there are many risks, especially in countries where there is still a centralized procurement organization. It is necessary to use special methods of placing a state order and establish high qualification requirements both for the customer's personnel and for the specialists involved.

Abstract:
The article shows the approbation results of the program optimization of the motivational-semantic sphere for patients with diabetes mellitus. The main content of the program and the results of the research are presented using the test "Meaning and life orientations" by D. Leontiev, the method "Diagnosis of the motivational structure of personality" by V. Milman and "The color test of attitudes" by A. Etkind. The study involved 79 people, mean age - 55.86, σ - 16.72. There is an increase in indicators of motives for communication and community usefulness that provide compensation for socio-psychological problems caused by the disease; goals in life, process and locus of control-I. These changes can be considered as markers of optimization of the motivational and semantic sphere of these persons. In the comparison group, the changes differ significantly from the changes in the main group: the indicators of the motive for communication, goals in life and the locus of control-I have increased. But there is a paradoxical combination of the locus of control-I growth with a simultaneous significant decrease in the locus of control-life. It can be explained, on the one hand, by improving physical condition and, accordingly, expanding the perspective of Future of these people, on the other hand, strengthening the belief that their somatic well-being depends on other people and circumstances, not on themselves. Disease’s emotional assessment intensity, under the psychocorrection program influence, decreased in the main group, while, on the contrary, there was simultaneous increasement in the comparison group. Emotional evaluation of the Present for respondents from the main group increased after the program; on the contrary, for those in the comparison group, this indicator decreased. The value of the Future in both groups increased for the first week of stay in the treatment center, but growth was more intense for the main group.

Abstract:
The article is devoted to the study of the problem of the content of educational and pedagogical forecasting in Ukraine in the period 1917 – 1920. The author concludes that the content of educational and pedagogical forecasting in Ukraine in the period 1917-1920 is manifested in the development of its national paradigm, the search for variable systems and models, technologies and methods of training teachers. The problem of educational and pedagogical forecasting within certain limits is a component and objectively existing, independent, defining direction, which allows to study the holistic process of development of preschool, secondary and higher education in Ukraine, its features, color; identify the leading trends, ideas, creative experience of training, which determines the positive transformation of the values of Ukrainian society; to outline ways to update educational and pedagogical forecasting in modern socio-political and economic conditions and to update the accumulated material from the past in the realities of pedagogical theory and practice of today.

Abstract:
In today's realities of investment activities, small and medium enterprises are faced with the dilemma of choosing areas of investment of monetary and non-monetary resources. Determining the feasibility of a particular investment is based on the use of appropriate mathematical apparatus and economic-mathematical models. The article considers some of the most important aspects of the use of numerical methods in the mechanism of investment of small and medium enterprises, developed on the basis of research on the development of such economic entities. The logical basis of the proposed methods is a proven division of the term of operation of enterprises into several stages of the life cycle, which differ significantly in the characteristics of incoming and outgoing cash flows. It is proposed to determine the absolute expediency of founding small and medium enterprises by calculating the probabilistic values of profitability of the enterprise based on the calculation of the area of geometric shapes limited by the functions of income and expenses during all stages of the life cycle. It is proved that such calculations are expedient by calculating the indefinite integral and applying the Newton-Leibniz formula.With regard to the functions that characterize the income and expenses of small and medium enterprises throughout their existence, the article proves that the most optimal in this case is the use of production functions. Among the whole set of existing production functions, we have identified the most optimal for the task Cobb-Douglas production function, CES production function, Linear production function, Leontief production function, adapted to the conditions of the microlevel. To calculate the elementary areas limited by the corresponding production functions, the article examines the relevant existing methods. Studies have been conducted on the possibility of using to calculate the areas limited by the production functions of income and expenses of small and medium enterprises during each stage of the life cycle, the methods of rectangles, trapezoids and parabolas. It is determined that they have limited conditions for use due to the need to divide the time period of operation of enterprises at intervals that do not coincide with the stages of the life cycle. Therefore, studies were continued, as a result of which it was proved that the most optimal method of calculating the elementary areas limited by the target functions of income and expenditure of small and medium enterprises is the Gaussian method with different variations.

Abstract:
80 pregnant women were examined after assisted reproductive technology (ART) programs: 40 women with manifestations of intrahepatic cholestasis of pregnant women (IHP) - the main group and 40 women without manifestations of IHP (comparison group).In the majority (62.5%) of patients after ART, the diagnosis of IHP established after 30 weeks of pregnancy. Some patients (27.5%) reported short-term episodes of IHP up to 24 weeks of gestation. In 17.5% of women, IHP had a severe course. Almost a third (27.5%) of women are over 35 years old. Women with IHP have a significantly higher frequency of allergies in the anamnesis (35.0%), liver pathology (20.0%) and diseases of the gastrointestinal tract (25.0%). Abstract:
There is an urgent need for a comprehensive study and analysis of negative processes of deepening the level of second relations in the economy. The ghost economy is the result of the functioning and increasing signs of a systemic crisis in the economy, which arises due to the discrepancy and inadequacy of the methods used to implement market transformations. The spread of the gray economy occurred on the basis of the destruction of existing distribution relations and the construction of new ones, which significantly violated the established balance of economic entities interests, the parity of its separate spheres development, and the motivation for effective management. Another meaningful aspect is that the gray sector of the economy in any country really exists; it quickly reacts to changes in the implementation of the state economic life. That is why it is extremely important when studying the problem of increasing the scale of the gray economy is the prompt and rapid accumulation of information dealing with changes in its basic indicators. Hiding of tax revenues is a crime, and tax minimization, that is, an attempt to reduce their amount, is completely legal and provides the work of a large number of specialists in the field of tax law and accounting. But on the other hand, for economic entities operating in Ukraine, the critical threat is not the fiscal capability, but the uncertainty in the legislation and the political and economic life of the country.

Abstract:
Нами розроблено спосіб профілактики ротації ТІОЛ шляхом використання стандартного капсульного кільця. Обстежено 46 пацієнтів (59 очей), яким виконана факоемульсифікації та імплантована ТІОЛ. Ротація ТІОЛ через 6 місяців після операції в контрольній групі на 22 очах (70,9%), в основній групі - на 12 очах (42,85%). В основній групі у всіх випадках відхилення вісі ТІОЛ не перевищувало 6 градусів. Запропонований спосіб профілактики ротації ТІОЛ дозволяє підвищити ефективність факоемульсифікації катаракти.

Abstract:
Intrahepatic cholestasis of pregnancy (idiopathic jaundice of pregnancy, recurrent familial jaundice of pregnancy) is a benign familial disease manifesting itself in the gestational period in itching and (or) jaundice. As a rule, the disease is observed in the 3rd trimester of pregnancy, that is in the 28th-30th week, and may disappear by itself a few days after labor and recur during future pregnancies.The aim of this research is to study the role and factors of vascular homeostasis regulation in women with infertility treated with assisted reproductive technologies (ART) and with concomitant intrahepatic cholestasis. Intrahepatic cholestasis is characterized by the damage of endothelial cells of hepatic sinusoids, changes in the intrahepatic hemodynamics, increased production of cytokines and free radicals. The processes of angiogenesis in the liver are also closely connected with the functional capacity of endothelium. The L-arginine level in blood was measured using the photometric method based. The homocysteine level was measured by the enzymatic cycling method. To measure the level of placental growth factor (PGF) in blood plasma samples, we used the immunochemical method.The research has found especially severe complications in the course of pregnancy after ART in those women with intrahepatic cholestasis whose placentas developed under the conditions of endothelial dysfunction from the very beginning of pregnancy.So, these factors may be early prognostic markers of severe obstetrical and perinatal disorders in women with induced pregnancy and hepatobiliary disorders.

Abstract:
The paper deals with the problem of the assessment of the functionality of the multi-motor direct current traction electric drive of the quarry electric locomotive. The problem of the failure of electric drive motors because of extremely unsatisfactory state of the rail tracks and the wear of wheel pairs is analyzed. Taking into account the number of the existing repaired electric motors the probability of fitting up the traction electric drive with the electric motors with the widest electrical parameters variety is determined.

Abstract:
The European integration processes is not losing its topicality to this day. It still remains as the important political challenge of the 21st century in the geopolitical area of the modern world. In these processes Georgia is actively participating today too, as it is known an agreement of the association between Georgia and the European Union was signed in summer 2014. This fact was a landmark of the greatest historical importance for Georgian people. It means returning of the Georgian people to its initial homeland-Europe, which always struggled and strived for it. It must be noted that we are not entering the Europe with empty hands but are widely credited with the propaganda of European qualities and bringing them to Georgia. It is still not widely known to the general public that at the starting point of uniting the European Union (European Confederation) were standing famous Georgian scientists and public figures. M. Muskhelishvili and A. Nikuradze. While Robert Schuman and Jean Monnet talked about the idea of uniting Europe, M. Muskhelishvili and A. Nikuradze were publishing articles on the same subject in the leading newspapers and magazines and actively participated in the processes of creating the European Union.

Abstract:
The occurrence of postoperative cognitive dysfunction is a negative consequence of vascular endothelial dysfunction in patients with grade I-II obesity with appropriate metabolic shifts and comorbid background, which increases the duration of treatment and worsens the prognosis in patients with acute surgical pathology. It is important to add endothelioprotectors to the intensive care unit. L-arginine hydrochloride has been shown to be pathogenetically justified as a prophylaxis for an increase in the level of antigens to von Willebrand factor in the blood of obese patients with acute surgical pathology. Administration of this substance before and during surgery is likely to improve mental performance in the postoperative period in patients with elevated body mass index, who underwent emergency cholecystectomy.

Abstract:
Sarcopenia is an important factor in the occurrence of complications in elderly patients with urgent surgical pathology. Decreased muscle strength and function is an important criterion for impaired early activation of such patients, which increases the number of complications and length of stay in the clinic. Identification of functional disorders of muscle tissue, as well as other metabolic disorders, such as type 2 diabetes, disorders of lipid metabolism, is important for the appointment of an adequate complex of intensive care. Prescribing levocarnitine and D-fructose-1,6-diphosphate sodium salt of hydrate is an important part of the treatment program in such patients.

Abstract:
The article presents a strategy for renovation in the riverside area: improvement of water protection functions; rehabilitation of disturbed territories; the use of recreational and urban planning potential of such territories for creating a recreational framework on the waterfront; integration of eco-clusters into the structure of riverside territories and the development of an integrated management system for waterfront zones. As a result of the research, the necessity of rethink the attitude to urban planning within the riverside areas is formulated. Possibilities of sustainable development of riparian territories are determined. Stages of rehabilitation of communal warehousing and industrial territories for sustainable development and rehabilitation of urban areas are proposed. A formalized model of structural renovation of the exploring areas are being built, on the basis of which the identified principles of rehabilitation are being tested. The significance of the obtained results for urban science lies in the development of new approaches to the identification and formation of the structure of territories in the area of interaction with the water area. In the formulation of the basic principles underlying the structural and planning transformations of riparian areas.

Abstract:
There are a number of recognition problems in different fields that can be solved with the system of pattern recognition with learning – SPRL elaborated by us. The problem of forecasting natural disasters (floods, mudslides) in the given year, the fixed region, and the period belongs to it. To solve it, it is set in the terms of pattern recognition with learning according to which it is necessary to pre-determine the learning descriptions in the same region of the previous years using data of the previous 12 months of the period. From learning descriptions, firstly are separated control descriptions, then the variants of learning and learning recognizable descriptions. Besides, it is necessary to determine descriptions in year, in the same region using data of the same previous period of the (the first model). After transformation and increasing the informativity of the learning descriptions, the knowledge and data bases are determined for learning recognizable and control descriptions in relation to the variants and classes (the second model). Using them, one decision is made on belonging to the respective class for learning recognizable descriptions, but for control descriptions – the primary decisions according to the number of variants, and then on their basis – one decision. Exactly according to the results of the recognition of control descriptions a decision is made on the occurrence (non-occurrence) of a natural disaster in the same region and period (the third model). The article discusses the arguments related to this fact. This model considers the correction of data bases with respect to variants and classes, also, defines the effectiveness of working of the SPRL and its detector of trust. Considering the specifics of forecasting, the initial data of at least 5 years are required to select the best knowledge and data bases with the use of which a disaster should be forecasted.
